Cloudteam is in the business of providing staff augmentation services to our corporate clients. Our website, cloudteam.com (herein referred to as "Site"), allows its corporate members (Herein referred as "Customers") to search its database of candidate members (Herein referred to as "Candidates"). Candidate fully understands that all Customer postings are for contract positions, where the duties will be performed as a cloudteam employee.

You agree that by registering on Site, or by using our website, or other information provided as part of the cloudteam services that you are entering in to a legally binding agreement with cloudteam, LLC, 4005 Capron Road, Titusville, FL 32780. Your access to or use of the Site or Services indicates your acceptance of these Terms and conditions. If you are using cloudteam on behalf of a company or other legal entity, you are nevertheless individually bound by this Agreement even if your company has a separate agreement with us. cloudteam reserves the right, in its sole discretion, to modify, alter or otherwise update these Terms of Use at any time. Such modifications shall be effective immediately upon posting of the modified Terms of Use. By using this service after we have posted notice of such modifications, alterations or update, you agree to be bound by the revised terms. cloudteam retains the right to deny access to anyone at its complete discretion for any reason, including violation of any of these Terms of Use.

If you object to anything in the Agreement, do not use the Site.

All material on this site, including, but not limited to, images, illustrations, audio clips, and video clips, is protected by copyrights, trademarks, and other intellectual property rights which are owned and controlled by cloudteam or by other parties that have licensed their material to cloudteam. More specifically, cloudteam is a registered trademark with the U.S. Patent and Trademark Office and such mark may only be utilized with prior written consent of cloudteam.

You agree to:

1. Provide correct personal contact information;
2. Keep your password secure and not allow anyone to access or disclose your account information;
3. Not to access any other member's account;
4. Not be a direct competitor of cloudteam;
5. Maintain your account's accuracy and keep your profile details up-to-date;
6. Immediately notify us if you believe someone has unauthorized access to your account;
7. Allow cloudteam to suspend your account, with or without notice, if we believe there is unauthorized access or fraudulent activity;
8. Be at a minimum of eighteen years old

You agree to:

1. Not participate in any unlawful commercial or research activity;
2. Refrain from spamming, soliciting, junk mail, or mass marketing of any other product or service;
3. Not sublicense, resell or provide information to any person or entity that is not a member of Site;
4. Not copy, distribute or print any Customer information for purposes other than consideration for Customers Posting;
5. Not render services, solicit services, accept business from directly or indirectly any Customer members whether as an hourly Candidate, independent contractor or employee of another company that was initially represented via cloudteam;
6. Respect and treat as confidential all Customer information;
7. Not represent or impersonate any member other than yourself;
8. Not post any false or misleading information;
9. Not remove any copyright or trademark information on Site;
10. Not hack or deface any portion of Site;
11. Not frame or mirror any part of this site;
12. Not upload software viruses, worms or other computer code, files or programs that could hinder the performance of cloudteam's software or hardware.
13. Not attempt to derive the source code for any underlying intellectual property used to provide service by cloudteam.

Rules for using the following Services:

1. Communication

   All Candidates will conduct themselves in a professional manner that does not disgrace cloudteam. Argumentative, foul or abusive language and aggressive behavior are examples of conduct that is deemed undesirable by cloudteam. Candidate agrees not to communicate, send or place unsolicited e-mail, telephone calls, mailing or other contacts to Customer members. The only exception to this would be sending a 'posting inquiry' within Site.

2. Candidate Profile

   Candidate members agree to abide to the following profile rules:
   1. Will not enter any false or inaccurate information on your profile including: education, certification, skills, awards or employment history;
   2. Will not enter any content that is Illegal, obscene, offensive or unsuitable content;
   3. Complete all contact information including: email, phone number and address;
   4. Will not enter any contact information other than in the appropriate fields requesting this specific information;
   5. Refrain from entering any trade secrets or copyright information;
   6. Forgo placing any links on Site;
   7. Post any inaccurate or misleading data;
   8. Abstain from falsely setting your status to available;
   cloudteam reserves the right to inactivate any Candidate profile that it considers offensive, inaccurate, or that violates the Terms of this Agreement.

3. Cloudteam Skill Assessments

   cloudteam is continually adding new skill assessments to its system. These assessments may be given online, in person or via phone. cloudteam makes no warrant that it is able to assess every skill which the Candidate provides. Candidate recognizes that they are not required to complete skill assessment to submit resume. Skill assessment and ratings are used to assist in validating Candidate claims.
   Candidate agrees that by electing to take any specific skill assessment, they allow the validation ratings to override any personal estimation of skill ratings that they may have provided. If Candidate disputes the validation ratings they have the right to retake that specific skill assessment in question. Candidate also agrees to share assessment responses and results with cloudteam and its Customers.

4. Reference and ratings

   References and ratings are collected opinions from previous employment, educational, or personal endorsements that are suggested by Candidates. cloudteam does not endorse or accept responsibility for the validity or accuracy of any rating, statement or opinion.
   Candidate agrees that by providing a reference that they allow cloudteam to publish the collected data on its Site and hold harmless any potential claims of liability against the Customer or cloudteam. All references will be posted on Site as anonymous.
   You agree that Site may review and delete any reference that it feels whether whole or in part may violate this Agreement or which it might find to be illegal, offensive, fraudulent or defamatory to character. We reserve the right to remove, edit or reinstate references and ratings at our sole discretion without notice.

cloudteam may send messages to your external email address and notify you of skill assessment requests, requested or scheduled interviews, interview or Customer feedback, or agreements which require a response. You should use cloudteam secure mail to communicate with cloudteam members. Because we may also need to contact you in regard to important notices about service changes, we require that every Candidate provide us with a valid and current external email address and contact information. Candidate is responsible for notifying us of any changes to his or her contact information.

Cloudteam grants you a limited, nonexclusive, revocable right to access Site, through a web browser or mobile device, for the purpose of seeking contract position with cloudteam.

Cloudteam does not charge on a per license basis. Candidate cannot sell or transfer any of its rights to any of the services provided by cloudteam. This license allows only one user to view and save a single copy of the Customer postings for searching contract opportunities within cloudteam.

Candidate agrees to comply with all applicable laws, rules and regulations in connection with its use of the Site and Site-related services cloudteam reserves the right to suspend or terminate your access and use at any time it determines you are in breach of these Terms of Use.

Candidate agrees that any suggestions, ideas or proposals it submits to cloudteam that the information is not confidential or proprietary in nature; you irrevocably assign all rights to cloudteam and are not entitled to any compensation for these suggestions. Cloudteam reserves the right to use or not use contributions in any way.

By agreeing to the Terms of Use, you agree to indemnify and hold harmless cloudteam and its affiliates, officers, directors, employees, stockholders, representatives, and Customers against all claims, losses and damages. Cloudteam assumes no responsibility or liability for the accuracy of any Customer or Candidate generated content. Selection of contract positions are based solely on Candidate's analysis, interviews, verification and determination that position is suitable for Candidates purposes. None of the Content on Site is endorsed by cloudteam, and cloudteam cannot and does not make any representations with respect to the truth or reliability of the Content. cloudteam reserves the right to remove any Content, in whole or in part, from the Site.
